Terms of Service

Last updated October 22, 2026

These Terms are an agreement between you and Dulybook ("Dulybook," "we," "us") for your use of the Dulybook website and services. By creating an account or using Dulybook, you agree to these Terms and to our Privacy Policy. If you use Dulybook for a business, you agree on behalf of that business and confirm you're allowed to.

Important: Dulybook is a tracking and guidance tool. It is not tax, legal, or accounting advice, and Dulybook is not an accounting firm. Dulybook does not file or pay anything for you. You file and pay on the government agency websites yourself, and you are responsible for meeting your deadlines and for the accuracy of your filings.

1. Who can use Dulybook

You must be at least 18 and use Dulybook for a business in the United States. Dulybook currently covers California state and federal deadlines, plus City of Los Angeles and Los Angeles County items. You're responsible for keeping your sign-in details secure and for activity in your account.

2. What Dulybook does, and what it doesn't

  • Dulybook lists deadlines based on the answers you give and general rules. Deadlines, fees, and penalties can change, and your situation may have exceptions. Always confirm dates and amounts on the official agency website, which each deadline links to.
  • Numbers Dulybook shows (such as profit, sales tax, set-aside amounts, "safe to spend," and late-fee estimates) are estimates based on what you entered. They're a starting point; check them yourself or with a tax professional.
  • AI features (the assistant, notice decoder, receipt scanning, and document auto-fill) can make mistakes. Review AI results before relying on them.
  • Links to outside directories (such as a CPA directory) are for convenience. We don't recommend, employ, or vouch for any professional.

3. Plans, free trial, and billing

  • Plans: Essentials ($25 a month or $250 a year) and Plus ($35 a month or $350 a year), in US dollars, plus any applicable taxes. The features and AI allowances of each plan are shown on the Plan and billing page.
  • Extra businesses: one account can hold more than one business. Your plan covers the first business. Each extra business is billed at 50% off your plan's price, on the same plan and billing period: Essentials $12.50 a month or $125 a year, Plus $17.50 a month or $175 a year, per extra business. Extra businesses are free during your free trial. If you add a business while on a paid plan, you authorize us to charge your payment method right away for the rest of the current period, prorated. If you remove one, its charge stops, and the unused part of the period is credited toward your next payments (not refunded to your card). The extra-business discount is a promotional price; like any price, we can change it with the notice described below.
  • Free trial: new accounts get a 14-day free trial, with no card needed. Accounts opened before paid plans are available may get a longer trial, shown on the Billing page. One free trial per business. We may decline or end a trial if the same business, ID number, or email address was used on another account.
  • Automatic renewal: paid plans renew automatically each month or year, and you authorize us (through Stripe) to charge your payment method at each renewal until you cancel. If you subscribe during your free trial, your first charge is on the day the trial ends.
  • Cancelling: cancel anytime from Plan and billing → Manage billing. Your plan stays active until the end of the period you've paid for, and won't renew.
  • Refunds: payments are non-refundable, and we don't give refunds or credits for partial periods, except for prorated credits when you change plans or remove an extra business (above), or where the law requires it. We may give a refund in our discretion.
  • Failed payments: if a payment fails, we and Stripe will try again and let you know. If it isn't resolved, your plan ends.
  • Price changes: we'll tell you at least 30 days before a price change applies to your plan. It takes effect at your next renewal after that notice, and you can cancel before then.
  • Promotion codes apply only as described when you use them and have no cash value.

4. When a trial or plan ends

If your free trial ends without a plan, or your plan ends, your account is locked: reminders and calendar sync stop, and you can't use the main features until you choose a plan. Your records stay saved, and you can still download your data. You can delete your account at any time.

5. Fair use and AI allowances

AI features have monthly and daily allowances to keep Dulybook fast and affordable for everyone. Invoice and packet emails also have daily limits. We may adjust limits, and we may limit use that looks automated or abusive.

6. Your content

  • You own the information and files you put into Dulybook ("your content"). You give us permission to store, process, and transmit your content only to provide and improve Dulybook for you, as described in our Privacy Policy.
  • You're responsible for your content, including your clients' information you add, and for having the right to use and share it.
  • Emails sent for you: when you email an invoice, reminder, or packet through Dulybook, it's sent on your behalf to the address you provide. You're responsible for its content and for following the law, including anti-spam laws.
  • Sharing with your accountant: you can give people you choose (such as your tax professional or bookkeeper) read-only access to a business's records, and choose what they can see. They see it under their own login, for free, and can't change anything. You decide whom to invite and are responsible for that choice; you can change or remove their access at any time, and it's paused while your plan is. Your assistant conversations are never shared this way. Dulybook isn't responsible for what people you invite do with what they see.
  • If you were invited to view someone's records: you may use them only to provide services to that business owner, must keep them confidential, and must follow these Terms. Your access can be changed or removed by the owner at any time. Dulybook doesn't review or audit those records.

7. Online invoice payments (Stripe)

You can choose to let your clients pay your invoices online. This is optional and is provided by Stripe, not by Dulybook.

  • Stripe's agreement: payment processing services for users of Dulybook are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (together, the "Stripe Services Agreement"). By turning on online payments, you agree to be bound by the Stripe Services Agreement, as Stripe may modify it from time to time. As a condition of Dulybook enabling payment processing services through Stripe, you agree to provide Dulybook accurate and complete information about you and your business, and you authorize Dulybook to share it and transaction information related to your use of the payment processing services provided by Stripe.
  • Your own Stripe account: online payments use a Stripe account in your business's name. Stripe verifies your identity and business, and may approve, limit, hold, or close your account under its own rules. Dulybook doesn't control those decisions.
  • Dulybook never holds your money: your clients pay your Stripe account directly, and Stripe sends payouts to your bank. Dulybook doesn't receive, hold, or transfer the money, and never sees your clients' card or bank numbers.
  • Fees: Stripe charges its processing fees to you directly, under the Stripe Services Agreement. Dulybook currently adds no fee to online payments; we'd tell you at least 30 days before that changes. Optional Stripe products you turn on in your Stripe account may have their own fees.
  • Refunds, disputes, and payouts are handled in your Stripe account. You're responsible to your clients for what you bill them, including refunds and chargebacks, and for any tax forms or reporting related to your payments.
  • Automatic recording: when Stripe confirms a payment, Dulybook marks the invoice paid and adds the income and Stripe's fee to your books. This depends on Stripe's confirmation and can be delayed or, rarely, wrong. Your Stripe account is the official record of your payments; check your books against it.
  • Your invoices: you're responsible for the amounts you bill, including the sales tax you add to invoices.

8. Reminder texts and notifications

  • Texts are optional. If you turn on reminder texts, you agree that Dulybook may send automated text messages about your business deadlines to the mobile number you confirm (usually 1 to 8 a month). Agreeing isn't required to use Dulybook. Message and data rates may apply.
  • Stopping: reply STOP to any text, or turn texts off on your Profile page, and we'll stop. Reply HELP for help, or email support@dulybook.com.
  • Only add a number you own or are allowed to use. Carriers aren't responsible for delayed or undelivered messages.
  • Phone and computer notifications are also optional; you can turn them off any time on your Profile page or in your device settings.
  • Texts and notifications are reminders only. Delivery isn't guaranteed, so keep an eye on your deadlines in Dulybook and on the official agency sites.

9. Things you may not do

  • Break the law, or use Dulybook for fraud or to send spam or unwanted messages.
  • Upload anything you don't have the right to, or anything harmful (like malware).
  • Try to access other people's accounts or data, or get around security, limits, or free-trial rules.
  • Copy, resell, or reverse engineer Dulybook, or use automated tools to overload it.

10. Suspension and termination

You can stop using Dulybook and delete your account at any time. We may suspend or close accounts that break these Terms, put others at risk, or don't pay. When possible, we'll tell you first and give you a chance to download your data.

11. Changes to Dulybook and these Terms

We improve Dulybook over time and may change or remove features. We may update these Terms. If a change is significant, we'll let you know by email or in Dulybook before it takes effect. Continuing to use Dulybook after that means you accept the updated Terms.

12. Disclaimers

Dulybook is provided "as is" and "as available." To the extent the law allows, we disclaim all warranties, including that Dulybook is accurate, complete, uninterrupted, or error-free, or that it will meet every deadline or requirement that applies to you. Government rules change, and Dulybook may not reflect every change or exception.

13. Limits on our liability

To the extent the law allows: we aren't liable for indirect, incidental, special, or consequential damages, or for lost profits, penalties, interest, or fees charged by any government agency, including for a missed or incorrect filing; and our total liability for any claim relating to Dulybook is limited to the amount you paid us in the 12 months before the claim. Some places don't allow these limits, so they may not fully apply to you.

14. Indemnity

If someone makes a claim against us because of your content, your use of Dulybook, or your breaking these Terms or the law, you agree to cover the reasonable costs of that claim, to the extent the law allows.

15. Governing law and disputes

California law governs these Terms, without regard to conflict-of-law rules. Before filing any claim, please contact us at support@dulybook.com so we can try to resolve it. Any dispute that isn't resolved will be handled in the state or federal courts in Los Angeles County, California, or in small claims court if it qualifies.

16. Other terms

These Terms and our Privacy Policy are the whole agreement between you and us about Dulybook. If part of these Terms can't be enforced, the rest still applies. Not enforcing a part isn't a waiver. You can't transfer these Terms without our consent; we may transfer them as part of a merger or sale of the business.
